In order to take into account all the changes that have taken place since the IMA was founded four years ago, the Statutes of our Association have undergone a general revision.
Extensive adjustments were made with regard to the definition of the purpose of the Association (Article II) and the Membership (Article V) in order to state clearly in view of the EU Copyright Directive coming into force in June 2021 that we are not a service provider but only operate our website for registered members of the Association to share content for which the members themselves have the exclusive copyright.
Furthermore, it was arranged that in the event of liquidation (Article XI), if there is money for it, a pro rata refund of prepaid membership fees will be made, and in what order. In addition, the terms of engagement of the members of the Association's Board have been made more specific (Article VII).
It is intended to propose these amended Statutes for approval at the
Ipernity General Assembly (IGA) on March 28, 2021.

Afin de prendre en compte tous les développements intervenus depuis la création de l'IMA il y a quatre ans, les Statuts de notre Association ont fait l'objet d'une révision générale.
Des ajustements importants ont été apportés à la définition de l'objet de l'Association (article II) et des membres (article V) afin d'indiquer clairement, dans la perspective de l'entrée en vigueur de la Directive Européenne sur le Droit d'Auteur en juin 2021, que nous ne sommes pas un fournisseur de services mais que nous exploitons notre site web uniquement pour les membres enregistrés de l'Association afin de partager des contenus dont les membres eux-mêmes ont le droit d'auteur exclusif.
En outre, il a été convenu qu'en cas de liquidation (article XI), s'il y a de l'argent pour celle-ci, un remboursement au prorata des cotisations d'adhésion payées d'avance sera effectué, et dans quel ordre. En outre, les conditions d'engagement des membres du Conseil d'Administration de l'Association ont été précisées (article VII).
Il est prévu de proposer ces Statuts modifiés pour approbation lors de
l'Assemblée Générale (IGA) du 28 mars 2021.

Um alle Veränderungen zu berücksichtigen, die seit Gründung der IMA vor vier Jahren stattgefunden haben, wurde unsere Vereinssatzung einer Generalrevision unterzogen.
Umfangreiche Überarbeitungen wurden bei der Definition des Vereinszwecks (Artikel II) und der Mitgliedschaft (Artikel V) vorgenommen, um im Hinblick auf die im Juni 2021 in Kraft tretende EU-Urheberrechtsrichtlinie deutlich zu machen, dass wir kein Dienstleister sind, sondern unsere Website nur für registrierte Mitglieder des Vereins betreiben, um Inhalte zu teilen, an denen die Mitglieder selbst das ausschließliche Urheberrecht haben.
Des Weiteren wurde geregelt, dass im Fall einer Liquidation (Artikel XI), soweit Geld dafür vorhanden ist, eine anteilige Rückzahlung der vorausbezahlten Mitgliedsbeiträge erfolgt, und in welcher Reihenfolge. Außerdem wurden die Tätigkeitsbeschreibungen der Mitglieder des Vereinsvorstands konkretisiert (Artikel VII).
Es ist vorgesehen, diese geänderte Satzung der Mitgliedervollversammlung am 28. März 2021 zur Genehmigung vorzuschlagen.

STATUTES OF THE “IPERNITY MEMBERS ASSOCIATION” (IMA)
ARTICLE I – CONSTITUTION
An Association governed by French civil law (the Code Civil) of 1 July 1901 and the decree of 16 August 1901, entitled “Ipernity Members Association”, is hereby established, hereinafter also referred to as “Association” or “IMA” for short.
ARTICLE II – PURPOSE
Section 1 – Purpose: The purpose of the Association is to provide a website for its registered members that allows the upload
andorSection 2 – Task: It is the task of the Association to maintain and administer this website and to keep it publicly accessible. Furthermore, it is the task of the Association to promote the website by reasonable and considered means of advertising.
Section 3 – Fiscal year: The fiscal year of the Association shall be the calendar year (1 January - 31 December).
Section 4 – Non-Profit: The Association is a non-profit organization. Membership contributions shall be used exclusively to cover the costs incurred in fulfilling the purpose of the Association. Long-term surpluses must not be generated.
ARTICLE III – HEADQUARTERS
Section 1 – Registered office: The registered office of the association is fixed at the following address: 16 Rue Marie Gausson, 94350 Villiers-sur-Marne, France.
Section 2 – Change of registered office: The registered office of the Association may be transferred by a simple majority vote of the Board of the Association (hereinafter: the “Board”).
ARTICLE IV – DURATION
The duration of the Association is unlimited.
ARTICLE V – MEMBERSHIP

Section 4 – Membership contribution: The amount of the membership contribution depends on the desired range of functions and storage space volume. It shall be set annually by the General Assembly of members for all options. The reference currency is the

at leastare entitles tohaveSection 6 – Termination: A full membership expires automatically if a full member fails to pay a due membership contribution. In this case, the member’s account will be downgraded to a guest account (guest membership) with limited access to the website functions and reduced storage space. Content that exceeds the limits for guest memberships will be deleted in accordance with a procedure set out in the Terms of Use with the deadlines specified therein. It is not recoverable thereafter. Irrespective of this, each membership expires by deletion of the member’s account.
ARTICLE VI – MEETINGS OF MEMBERS
Section 1 – Ipernity General Assembly: An Annual Meeting of Members shall be held in March. The date and time shall be decided by the President. Given the
globalinternationalSection 2 – Extraordinary Meetings: Extraordinary Meetings of members may be convened by the President or a simple majority of the Board. A petition signed by five percent of the members of the Association may also call an Extraordinary Meeting.
Section 3 – Notice of the Meeting: A notice of the meeting and an agenda for each meeting shall be given to all members entitled to vote. The notice shall be posted on the Association's website in the Club News. The notice must be given at least two weeks before the meeting.
Section 4 – Agenda: Only items on the agenda shall be considered at the Ipernity General Assembly and at Extraordinary Meetings.
Section 5 – Quorum: Full members present at any duly announced Meeting constitute a quorum. Members are considered present if they are connected online at the time of the meeting. They must register beforehand to attend the meeting and prove their identity by means of some form of identification containing a photo (ID card, drivers license, etc.).
Section 6 – Voting: All decisions and motions to be voted upon shall be endorsed by a simple majority of the full members present at the Meeting. Members of the current Board of the Association and candidates for the new Board of the Association are not entitled to vote on their own mandates.
Section 7 – Decisions: Decisions of the General Assembly are binding on the Board and all members of the Association.
Section 8 – Report: Minutes of the Ipernity General Assembly and Extraordinary Meetings including all decisions, motions, and actions taken shall be compiled by the Secretary, duly recorded, archived and published on the Association’s website in the Club News.

Section 1 – Composition and responsibilities of the Board: The Board of the Association consists of five members. To the extent permitted by law, they may deputise for each other and reassign the duties described below at any time during the term of office by resolution.
A: The President
The President shall be the official representative of the Association vis-à-vis authorities, banks and business partners. He/she shall be inscribed as such in the official register of associations and with the banks. He/she is the official representative of the Association in public. He/she is fully authorised to sign for the fulfilment of his/her tasks and receives full access to the ipernity database (via admin tool). He/she shall also have full access to the Association's bank accounts.
Duties: Defining the strategy in consultation with the entire Board and the advisors. Appointing advisors. Liaising with the authorities. Being the highest authority in settling internal conflicts. Convening the annual general meeting (IGA). Preparing and presenting the annual activity report. Chairing the regular Board meetings. Clarifying decision-relevant issues before all meetings together with the other Board colleagues and the advisors. Issuing warnings to members in case of serious violations of the Terms of Use (copyright violations, hate speech, pornography, etc.). Blocking member accounts in case of repeated violations despite warnings. Monitoring the activities of the Treasurer. In the case of a relocation of the association's headquarters or re-founding: Coordination of all necessary official measures.
B: The Vice President
The Vice President of the Association can stand in for the President in dealings with authorities and business partners and is entered as such in the official register of associations. He/she shall be the official representative of the President in public. He/she is fully authorised to sign on behalf of the Association's President and shall have full access to the ipernity database (via the admin tool).
Duties: Maintaining a list of all club members independently of the website. Generating regular statistics and forecasts on membership trends. Creating and publishing the periodical Club News ⚠️. Maintaining relations with the media. Selecting and finalising eye-catching images for the homepage. Creating and distributing press releases. Coordinating all activities to promote the club website to appropriate advertisers.

C:The Treasurer
The treasurer must be an EU citizen. He/she is authorised to sign with banks and business partners. He/she shall be registered in the official register of associations and with the banks. He/she will be given access to all bank accounts and PayPal (two-factor authentication) to perform his/her duties. He receives access to the AWS console and full access to the ipernity database (via admin tool). Basic knowledge of Excel is required to maintain existing spreadsheets.
Duties: Drawing up the annual budget. Regular prompt monitoring of the budget for deviations. Ad-hoc information for the Board in the event of major irregularities. Drawing up quarterly reports for the Board. Drawing up the annual financial report with explanations of any special business transactions. Drawing up and regular updating of the medium-term forecast (5 years). Regular prompt monitoring of the bank account ⚠️. Ensuring liquidity for the payment of periodic invoices ⚠️. Payment of aperiodic invoices ⚠️. Manual release of subscription renewals made via bank transfer ⚠️. Regular timely monitoring of the PayPal account ⚠️. Regular transfer of PayPal surpluses to the bank account. Fixed-interest investment of surplus liquidity. Regular timely maintenance of the cash book ⚠️. Monthly review of incoming invoices for correctness. Economic optimisation of AWS server agglomeration (Reserved Instances).

D: The Webmaster
The webmaster coordinates all technical measures required to maintain the operational performance of the Association’s website. This requires full access to the ipernity database (via admin tool) and unrestricted access to the AWS console. Basic knowledge and skills in HTML, PHP, CSS, mySQL and Javascript are useful for the timely resolution of simple faults. Additional IT knowledge and skills are desirable.
Duties: Permanent monitoring of the system-generated error messages (Nagios, AWS Cloudwatch, Google Suite, mail accounts of the Association) ⚠️. Fixing simple malfunctions. Adapting the ipernity software to any updates of the operating software used. Adapting the ipernity software to changing interfaces. Quarterly upload of the frontpage images. Setting up an information banner as required. Adaptation of the user interface to changing requirements and/or wishes of the users. Targeted queries of the database on a case-by-case basis to support the Board colleagues in their work. Technical optimisation of the AWS servers (security, performance). Technical optimisation of the S3 data storage (Intelligent Tiering). Contact person to IT service providers who have to be involved on a case-by-case basis to resolve difficult problems. In case of software migration or reprogramming: Technical project coordination.

E: The Moderator
The Moderator coordinates all internal matters of the Board and is responsible for the timely handling of membership matters.
Duties: Convening regular board meetings. Preparing the agenda and draft resolutions for board meetings. Taking minutes of the Board meetings. Maintaining, distributing and archiving the association's records. Preparing and publishing the IGA agenda in a timely manner. Taking the minutes of the IGA. Responding to general enquiries from members (tickets) ⚠️. Handling the complaint of inappropriate content ⚠️. Checking release of pictures for the gallery ⚠️. Removing spam ⚠️. Officially welcoming new members in their guestbook and via Iper-Mail ⚠️.

Section 2 – Role and compensation: The Board of the Association is responsible for the general policy and management of the Association. The
itstheirSection 3 – Term of office: The members of the Board are appointed for a period of two years.
Section 4 – Overlapping terms, first term: To ensure that not all Board mandates are vacated in the same year only the President, the Treasurer and the Moderator will be elected at the first regular Ipernity General Assembly meeting in 2019 for a term of two years. The Vice President and the Webmaster will be elected for one year only and shall be due for re-election in 2020.Section

Section 1 – Appointment and role: The Board may appoint and dismiss Advisors forming the Advisory Council. The Advisory Council shall advise the Board upon request and be available for the handling of self-contained work packages or tasks delegated by the Board. Advisors may initiate motions but have no vote on Board decisions. The Advisors have to be full members of the Association. Advisors resign by a simple email to the Board. Their appointment shall automatically expire on the day of the General Assembly. They may be reappointed at any time.
Section 2 – Information exchange: The Advisory Council shall have access to all communications exchanged between the Board members and are free to comment on all communications. As this information may be confidential it must not be communicated to the public or to members of the Association.
ARTICLE VII b – CASH AUDITORS
Section 1 – Election and role: The full members present at the Ipernity General Assembly shall appoint two Cash Auditors who shall be responsible for certifying the annual financial report compiled by the Treasurer prior to the Ipernity General Assembly. The Cash Auditors shall present their report at the Ipernity General Assembly and – if they confirm a proper bookkeeping and complete financial records – propose a motion to discharge the Board.
Section 2 – Term and membership: The Auditors will be elected for one year. Any full member may be elected as Cash Auditor except for members of the Board.
ARTICLE VIII – FINANCE COMMITTEE
ARTICLE IX – RESOURCES
Section 1 – Resources: The Association's resources consist of member contributions, donations and income from financial and investment interests.
ARTICLE X – AMENDMENTS
Section 1 – Amendments: The Board may propose amendments to the statutes to the General Assembly. Proposed amendments shall be published on the Association website in the Club News and must be ratified by a simple majority of the full members at the next Ipernity General Assembly to become effective.
ARTICLE XI – LIQUIDATION
Section 1 – Liquidation: The liquidation of the Association shall be decided by a two-thirds vote at the regular Ipernity General Assembly or an Extraordinary Meeting of members. In the event of liquidation, all debts to banks or business partners must be paid in the first instance, as well as the remuneration for any external liquidator to be appointed. Secondly, donations for social purposes must be returned to the donors pro rata. In the third place, advance contribution payments over a period of 12 months are to be refunded pro rata. In fourth place, the regular contribution payments are to be refunded pro rata. Refunds to members will be made

These Statutes were revised on March 1, 2021, to reflect operational changes. It will be proposed for approval at the General Assembly on March 28, 2021.
These Statutes were revised on February 23, 2019. The amendments were approved by the General Assembly of Members on March 31, 2019.
These statutes were approved unanimously by the founders of the Association at the Constitutive Assembly of the Association on February 18, 2017.

ARTICLE II – OBJET
Section 1 – Objet : L’objet de l’Association est de fournir un site web à ses membres enregistrés qui permet

Section 3 – Adhésion à part entière : L'adhésion à part entière nécessite l'acceptation préalable de l'Association en tant que membre invité. L'adhésion à part entière commence par le paiement de la cotisation après accord préalable sur les conditions d'adhésion
Section 4 – Cotisation de membre : Le montant de la cotisation dépend de la gamme de fonctions souhaitée et du volume de l'espace de stockage. Il est fixé annuellement par l'Assemblée générale des membres pour toutes les options. La monnaie de référence est
le dollar américainl'euroeuro,dollar américainSection 5 – Privilèges des membres : Chaque membre enregistré est autorisé à utiliser le site web
au moins dans la mesuredans les conditions prévuesont droit àdisposent d'Section 6 – Résiliation : Une adhésion à part entière expire automatiquement si un membre à part entière ne paie pas la cotisation due. Dans ce cas, le compte du membre sera déclassé en compte d'invité (adhésion d'invité) avec un accès limité aux fonctions du site web et un espace de stockage réduit. Le contenu qui dépasse les limites de l'adhésion d'invité sera supprimé conformément à une procédure définie dans les conditions d'utilisation avec les délais qui y sont spécifiés. Il n'est pas récupérable par la suite. Indépendamment de cela, chaque adhésion expire par la suppression du compte du membre.
ARTICLE VI –ASSEMBLÉES DES MEMBRES
Section 1 – Assemblée Générale d'Ipernity : Une assemblée annuelle des membres aura lieu en mars. La date et l'heure en sont fixées par le président. Compte tenu du caractère international de l'Association, la réunion se tiendra en ligne. Les détails et les procédures y afférentes seront communiqués dans l'invitation à l'Assemblée Générale. Lors de l'Assemblée Générale d'Ipernity, les membres titulaires présents prennent connaissance du rapport financier annuel et du rapport d'activité du Conseil d'administration. Ils déchargent le Conseil d'administration de l'Association de sa responsabilité pour toutes les activités menées au cours de l'exercice financier écoulé
Section 2 – Assemblées Extraordinaires : Les Assemblées Extraordinaires des membres peuvent être convoquées par le Président ou par une majorité simple des membres du Conseil d'Administration. Une pétition signée par cinq pour cent des membres de l'Association peut également convoquer une Assemblée Extraordinaire.
Section 3 – Avis de réunion : Un avis de réunion et l'ordre du jour de chaque réunion doivent être remis à tous les membres ayant le droit de vote. L'avis sera publié sur le site Web de l'Association dans le Infos Club. L'avis de réunion doit être communiqué au moins deux semaines avant la réunion.
Section 4 – Ordre du jour : Seuls les points inscrits à l'ordre du jour peuvent être examinés lors de l'Assemblée Générale et lors d’une Assemblée Extraordinaire.
Section 5 - Quorum : Les membres à plein titre présents à toute assemblée dûment annoncée en constituent le quorum. Les membres sont considérés comme présents s'ils sont connectés en ligne au moment de la réunion. Ils doivent s'inscrire au préalable pour participer à la réunion et prouver leur identité au moyen d'une pièce d'identité avec photo (carte d'identité, permis de conduire, etc.).

Section 7 – Décisions : Les décisions lient le Conseil d'Administration et tous les membres de l'Association.
Section 8 – Procès-verbaux : Les procès-verbaux de l'Assemblée Générale et des Assemblées Extraordinaires, y compris toutes les décisions, motions et actions prises, sont compilés par le Secrétaire, dûment enregistrés, archivés et publiés sur le site Web de l'Association dans les Infos Club.
ARTICLE VII – LE CONSEIL D’ADMINISTRATION

A : Le Président

Il est inscrit en tant que tel au registre officiel des associations et auprès des banques. Il est le représentant officiel de l'Association en public. Il est pleinement autorisé à signer pour l'accomplissement de ses tâches et reçoit un accès complet à la base de données ipernity (via l'outil d'administration). Il/elle a également un accès complet aux comptes bancaires de l'Association.
Tâches : Définir la stratégie en consultation avec l'ensemble du Conseil d'Administration et les conseillers. Désignation des conseillers. Assurer la liaison avec les autorités. Être la plus haute autorité dans le règlement des conflits internes. Convoquer l'assemblée générale annuelle (IGA). Préparer et présenter le rapport d'activité annuel. Présider les réunions régulières du conseil d'administration. Clarifier les questions pertinentes pour les décisions avant toutes les réunions avec les autres collègues du conseil d'administration et les conseillers. Avertir les membres en cas de violation grave des conditions d'utilisation (violation des droits d'auteur, discours de haine, pornographie, etc.) Bloquer les comptes des membres en cas de violations répétées malgré les avertissements. Contrôler les activités du trésorier. Dans le cas d'un déménagement du siège de l'association ou d'une refondation :
B : Le Vice-Président
Le Vice-Président de l'association peut remplacer le président dans les relations avec les autorités et les partenaires commerciaux et est inscrit en tant que tel au registre officiel des associations. Il est le représentant officiel du président en public. Il est pleinement autorisé à signer au nom du président de l'association et a un accès complet à la base de données ipernity (via l'outil d'administration).
Tâches : Tenir une liste de tous les membres du club indépendamment du site web. Produire régulièrement des statistiques et des prévisions sur l'évolution des effectifs. Créer et publier le périodique « Infos Club » ⚠️. Entretenir des relations avec les médias. Sélectionner et finaliser des images attrayantes pour la page d'accueil. Créer et diffuser des communiqués de presse. Coordonner toutes les activités visant à promouvoir le site web du club auprès des annonceurs appropriés.

C : Le Trésorier
Le trésorier doit être un citoyen de l'UE. Il est autorisé à signer avec les banques et les partenaires commerciaux. Il doit être inscrit au registre officiel des associations et auprès des banques. Il aura accès à tous les comptes bancaires et à PayPal (authentification à deux facteurs) pour exercer ses fonctions. Il reçoit un accès à la console AWS et un accès complet à la base de données ipernity (via l'outil d'administration). Une connaissance de base d'Excel est nécessaire pour tenir à jour les feuilles de calcul existantes.
Tâches : Etablir le budget annuel. Suivi régulier et rapide du budget pour détecter les écarts. Informations ad hoc pour le Conseil en cas d'irrégularités majeures. Rédaction de rapports trimestriels pour le Conseil d'administration.

D : Le Webmaster
Le Webmaster coordonne toutes les mesures techniques nécessaires au maintien des performances opérationnelles du site web de l'Association. Cela nécessite un accès complet à la base de données ipernity (via l'outil d'administration) et un accès illimité à la console AWS. Des connaissances et des compétences de base en HTML, PHP, CSS, mySQL et Javascript sont utiles pour résoudre rapidement des problèmes simples. Des connaissances et compétences informatiques supplémentaires sont souhaitables.
Tâches : Surveillance permanente des messages d'erreur générés par le système (Nagios, AWS Cloudwatch, Google Suite, comptes de messagerie de l'Association) ⚠️. Résolution des dysfonctionnements simples. Adaptation du logiciel ipernity aux éventuelles mises à jour du logiciel d'exploitation utilisé. Adaptation du logiciel ipernity à l'évolution des interfaces. Téléchargement trimestriel des images de la première page. Mise en place d'une bannière d'information selon les besoins. Section 1 – Nomination et rôle : Le Conseil d'Administration peut nommer et révoquer des Conseillers au Conseil d'Administration formant le Conseil Consultatif. Le Conseil Consultatif conseille le Conseil d'Administration sur demande et assure le traitement de lots de travail autonomes ou des tâches déléguées par le Conseil. Les Conseillers peuvent présenter des motions, mais n'ont pas le droit de vote sur les décisions du Conseil d'Administration. Les Conseillers doivent être membres à plein titre de l'Association. Les conseillers démissionnent par un simple courrier électronique adressé au conseil d'administration. Leur mandat expire automatiquement le jour de l'Assemblée générale. Section 1 – Élection et rôle : Les membres présents à l'Assemblée Générale désignent deux Commissaires aux Comptes qui sont chargés de certifier le rapport financier annuel établi par le Trésorier avant l'Assemblée Générale. SATZUNG DER „IPERNITY MEMBERS ASSOCIATION“ (IMA)
ARTIKEL I – NAME UND BESCHAFFENHEIT
Hiermit wird ein Verein nach französischem Zivilrecht, dem Code Civil vom 1. Juli 1901 und dem Dekret vom 16. August 1901 mit dem Titel „Ipernity Members Association“ im Folgenden auch „Verein“ oder „IMA“, gegründet.
ARTIKEL II – ZWECK
Absatz 1 – Zweck: Der Zweck des Vereins ist es, seinen registrierten Mitgliedern eine Webseite zur Verfügung zu stellen, die das Hochladen
und PräsentierenundoderAbsatz 2 – Aufgabe: Es ist Aufgabe des Vereins, diese Webseite zu pflegen, zu verwalten und öffentlich zugänglich zu halten. Darüber hinaus ist es Aufgabe des Vereins, diese Webseite mit angemessenen und durchdachten Mitteln der Werbung zu fördern.
Absatz 3 – Geschäftsjahr: Das Geschäftsjahr des Vereins ist das Kalenderjahr (1. Januar bis 31. Dezember).
Absatz 4 – Gewinn: Der Verein ist eine nicht gewinnorientierte Organisation. Die Mitgliedsbeiträge dienen ausschließlich dazu, die Kosten zu decken, die im Zusammenhang mit der Erfüllung des Vereinszwecks entstehen. Langfristige Überschüsse dürfen nicht erwirtschaftet werden.

In diesem Fall wird das Mitgliedskonto auf ein Gastkonto (Gastmitgliedschaft) mit eingeschränktem Zugriff auf die Funktionen der Webseite und reduziertem Speicherplatz heruntergestuft Inhalte, welche die Limits für Gastmitgliedschaften überschreiten, werden nach einem in den Nutzungsbedingungen festgelegten Verfahren mit den darin genannten Fristen gelöscht. Sie sind danach nicht wiederherstellbar. Unabhängig davon erlischt jede Mitgliedschaft durch Löschung des Mitgliedskontos.
ARTIKEL VI – DIE MITGLIEDERVERSAMMLUNGEN
Absatz 1 – Generalversammlung: Die jährliche Generalversammlung findet im März statt. Datum und Uhrzeit werden von dem/der Vorsitzenden festgelegt. Angesichts des
globaleninternationalenAbsatz 2 – Außerordentliche Versammlungen: Außerordentliche Mitgliederversammlungen können von dem/der Vorsitzenden oder mit einfacher Mehrheit des Vorstands einberufen werden. Eine von fünf Prozent der Mitglieder des Vereins unterzeichnete Petition kann auch eine außerordentliche Sitzung einberufen.
Absatz 3 – Einberufung der Versammlung: Allen stimmberechtigten Mitgliedern ist eine Einberufung der Versammlung und eine Tagesordnung für jede Versammlung mitzuteilen. Die Mitteilung erfolgt auf der Website des Vereins in den Club-Nachrichten. Die Einberufung muss mindestens zwei Wochen vor der Versammlung erfolgen.
Absatz 4 – Tagesordnung: Nur Punkte der Tagesordnung werden in der Generalversammlung und in außerordentlichen Sitzungen behandelt.
Absatz 5 – Beschlussfähigkeit: Die bei jeder ordnungsgemäß angekündigten Versammlung anwesenden Vollmitglieder sind beschlussfähig. Mitglieder gelten als anwesend, wenn sie zum Zeitpunkt der Sitzung online zugeschaltet sind. Sie müssen sich zuvor für die Teilnahme an der Sitzung registrieren lassen und ihre Identität mit einem Lichtbildausweis (oder Führerschein, etc.) nachweisen.
Absatz 6 – Abstimmungen: Alle Beschlüsse und Anträge, über die abgestimmt werden soll, werden mit einfacher Mehrheit der bei der Sitzung anwesenden Vollmitglieder beschlossen. Die Mitglieder des amtierenden Vorstands und die Kandidaten für den neuen Vorstand sind bei Abstimmungen über ihre eigenen Mandate nicht stimmberechtigt.
Absatz 7 – Entscheidungen: Die Beschlüsse der Mitgliederversammlungen sind für den Vorstand und alle Mitglieder des Vereins bindend.

ARTIKEL VII – DER VEREINSVORSTAND
Absatz 1 – Zusammensetzung und Aufgaben des Vereinsvorstands: Der Vereinsvorstand besteht aus fünf Mitgliedern. Soweit es gesetzlich zulässig ist, können sich diese gegenseitig vertreten und die nachfolgend beschriebenen Aufgaben während der Amtsperiode jederzeit per Beschluss anders zuordnen.
A: Der/Die Vereinsvorsitzende
Der/Die Vorsitzende ist der/die offizielle Vertreter des Vereins gegenüber Behörden, Banken und Geschäftspartnern und wird als solche/r in das amtliche Vereinsregister und bei den Banken eingetragen. Er/sie ist der/die offizielle Vertreter/in des Vereins in der Öffentlichkeit. Er/Sie ist zur Wahrnehmung seiner/ihrer Aufgaben vollumfänglich unterschriftsberechtigt und erhält vollumfänglichen Zugang zur ipernity-Datenbank (via admin-Tool). Er erhält weiterhin vollumfänglichen Zugang zu den Bankkonten des Vereins.
Aufgaben:Festlegung der Strategie in Abstimmung mit dem Gesamtvorstand und den Beratern. Bestellung von Beratern . Kontakte zu den Behörden. Oberste Instanz bei der Schlichtung interner Konflikte. Einberufung der jährlichen Mitgliedervollversammlung (IGA). Erstellung und Präsentation des Jahres-Tätigkeitsberichts . Leitung der regelmäßigen Vorstandssitzungen. Klärung beschlussrelevanter Fragen vor allen Sitzungen zusammen mit den übrigen Vorstandskollegen und den Beratern. Abmahnung von Mitgliedern bei schweren Verstößen gegen die Nutzungsbedingungen (Copyright-Verletzungen, Hassrede, Pornografie, etc.). Sperrung von Mitgliederkonten bei wiederholten Verstößen trotz Abmahnung. Überwachung der Aktivitäten des Kassenführers. Für den Fall einer Verlegung des Vereinssitzes oder Umgründung: Koordination aller erforderlichen behördlichen Maßnahmen.
B: Der/Die Stellvertretende Vereinsvorsitzende
Der/Die Stellvertretende Vereinsvorsitzende vertritt die/den Vereinsvorsitzende/n gegenüber Behörden und Geschäftspartnern und wird als solche/r in das amtliche Vereinsregister eingetragen. Er/sie ist der/die offizielle Vertreter/in des/der Vereinsvorsitzenden in der Öffentlichkeit. Er/sie ist in Vertretung des Vereinsvorsitzenden vollumfänglich unterschriftberechtigt und erhält vollumfänglichen Zugang zur ipernity-Datenbank (via Admin-Tool).
Aufgaben: Von der Webseite unabhängige Pflege einer Liste aller Club-Mitglieder. Erstellung regelmäßiger Statistiken und Prognosen über die Entwicklung der Mitgliederzahl. Erstellung und Veröffentlichung der periodischen Club-Nachrichten ⚠️. Pflege der Beziehungen zu Medien. Auswahl und Finalisierung der Blickfang-Bilder für die Homepage. Erstellung und Verteilung von Pressemitteilungen. Koordination aller Aktivitäten zur Bewerbung der Vereins-Webseite bei geeigneten Werbeträgern.

C: Der/Die Schatzmeister(in)
Der/Die Schatzmeister/in muss EU-Staatsbürger(in) sein. Er/sie ist gegenüber Banken und Geschäftspartnern unterschriftsberechtigt. Er/sie wird in das amtliche Vereinsregister und bei den Banken eingetragen. Er/sie erhält zur Wahrnehmung seiner/ihrer Aufgaben Zugang zu allen Bankkonten und PayPal (Zwei-Faktor Authentifizierung). Er/sie erhält Zugang zur AWS-Konsole und vollumfänglichen Zugang zur ipernity-Datenbank (via admin-Tool). Zur Pflege bestehender Spreadsheets sind Grundkenntnisse in Excel erforderlich.
Aufgaben: Erstellung des Jahresbudgets. Regelmäßige zeitnahe Überwachung des Budgets auf Abweichungen. Ad-hoc-Information des Vorstands bei größeren Unregelmäßigkeiten. Erstellung von Quartalsberichten für den Vorstand. Erstellung des Jahresfinanzberichts mit Erläuterung aller besonderen Geschäftsvorfälle. Erstellung und regelmäßige Aktualisierung der Mittelfristprognose (5 Jahre). Regelmäßige zeitnahe Überwachung des Bankkontos ⚠️. Der/die Webmaster/in koordiniert alle technischen Maßnahmen, die zur Aufrechterhaltung des operativen Betriebs der Vereinswebseite erforderlich sind. Dafür sind der vollumfängliche Zugang zur ipernity-Datenbank (via Admin-Tool) und der uneingeschränkte Zugang zur AWS-Konsole erforderlich. Zur zeitnahen Behebung einfacher Störungen sind Grundkenntnisse und Fertigkeiten in HTML, PHP, CSS, mySQL und Javascript dienlich. Darüber hinaus gehende IT-Kenntnisse und Fertigkeiten sind wünschenswert.
Aufgaben: Permanente Überwachung der systemgenerierten Fehlermeldungen (Nagios, AWS-Cloudwatch, Google-Suite, Mail-Konten des Vereins) ⚠️. Behebung einfacher Störungen. Anpassung der ipernity-Software an allfällige Updates benutzter Betriebssoftware. Anpassung der ipernity-Software an sich verändernde Schnittstellen. Vierteljährlicher Upload der Frontpage-Bilder. Bedarfsweises Einrichten eines Hinweisbanners. Anpassung der Nutzeroberfäche an sich wandelnde Erfordernisse und/oder Wünsche der Nutzer. Fallweise gezielte Abfragen der Datenbank zur Unterstützung der Vorstandskollegen bei ihrer Arbeit. Technische Optimierung der AWS-Server (Sicherheit, Performance). Technische Optimierung des Datenspeichers S3 (Intelligent Tiering). Kontaktperson zu IT-Dienstleistern, die fallweise zur Behebung schwieriger Probleme hinzugezogen werden müssen. Absatz 1 – Ernennung und Rolle: Der Vorstand kann Berater(innen) ernennen und abberufen. Diese Berater(innen) bilden den Beirat. Der Beirat berät den Vorstand auf Anfrage und steht für die Bearbeitung von in sich geschlossenen Arbeitspaketen oder vom Vorstand delegierten Aufgaben zur Verfügung. Beiräte/Beirätinnen können Anträge stellen, haben aber kein Stimmrecht bei Vorstandsbeschlüssen. Die Beiräte/Beirätinnen müssen Vollmitglieder des Vereins sein. Beiräte/Beirätinnen treten durch eine einfache E-Mail an den Vorstand zurück. Ihre Amtszeit erlischt automatisch am Tag der Mitgliedervollversamlung. Ihre Wiederberufung ist jederzeit möglich.
Absatz 2 – Informationsaustausch: Der Beirat hat Zugang zu allen zwischen den Vorstandsmitgliedern ausgetauschten Mitteilungen und kann zu allen Mitteilungen Stellung nehmen. Da diese Informationen vertraulich sein können, dürfen sie nicht an die Öffentlichkeit oder an Mitglieder des Vereins weitergegeben werden.
ARTIKEL VII b – KASSENPRÜFER(INNEN)
Absatz 1 – Wahl und Rolle: Die an der Generalversammlung anwesenden Vollmitglieder wählen zwei Kassenprüfer(innen), die für die Prüfung und Zertifizierung des vom Schatzmeister erstellten Jahresfinanzberichts verantwortlich sind. Die Kassenprüfer(innen) legen ihren Bericht der Mitgliedervollversammlung vor und beantragen - wenn sie eine ordnungsgemäße Buchführung und vollständige Finanzunterlagen bestätigen - die Entlastung des Vorstandes.
Absatz 2 – Amtszeit und Mitgliedschaft: Die Kassenprüfer(innen) werden für ein Jahr gewählt. Jedes Vollmitglied des Vereins kann als Kassenprüfer(in) gewählt werden, mit Ausnahme der Vorstandsmitglieder.

Absatz 1 – Änderungen: Der Vorstand kann der Mitgliederversammlung eine Änderung dieser Satzung vorschlagen. Änderungsvorschläge werden auf der Vereins-Webseite in den Club-Nachrichten veröffentlicht und müssen auf der nächsten Mitgliedervollversammlung mit einfacher Mehrheit der Vollmitglieder ratifiziert werden, um in Kraft zu treten.
ARTIKEL XI – AUFLÖSUNG
Absatz 1 – Auflösung: Die Auflösung des Vereins wird durch eine Zweidrittelmehrheit der regulären Mitgliedervollversammlung oder einer außerordentlichen Mitgliedervollversammlung beschlossen. Im Fall einer Auflösung müssen an erster Stelle alle Schulden an Banken oder Geschäftspartner beglichen werden, sowie die Vergütung für einen eventuell zu bestellenden Liquidator. An zweiter Stelle sind Spenden für soziale Zwecke an die Spender/innen anteilig zurück zu zahlen. An dritter Stelle sind die Beitragsvorauszahlungen anteilig zu erstatten, die über einen Zeitraum von 12 Monaten hinausgehen. An vierter Stelle sind die regulären Beitragszahlungen anteilig zu erstatten. Die Erstattungen an Mitglieder erfolgen

1. Citizenship of board members: It is true that the Ipernity Members Association is a French association. However, the underlying French law of 1901 does not prescribe any citizenship for the members of the Board of the Association.
We refer to the "Loi du 1er juillet 1901 relative au contrat d'association" in the version available online: www.legifrance.gouv.fr/loda/id/LEGITEXT000006069570. Should we have overlooked a different regulation when checking the text of the law, we would ask Hervé to name the paragraph.
2. Reference language: Because the registered office of the Association is in France, the Articles of Association must also be deposited with the authorities in French. This is because both the prefecture at the Association's registered office and, in the event of a legal dispute, the competent court refer to it. So there is nothing to clarify in this respect. It is simply a regulation of the French administrative authorities.
3. Translations: That the translations are for information only is explicitly mentioned as a final sentence under each translation. If there are discrepancies in the translation, here and now is exactly the right time to clear them up as best as possible. Because, of course, members who do not speak French should be informed as best as possible.
Article VII, Section 2: „Section 2 – Rôle et rémunération : Le Conseil d'Administration est responsable de la politique générale et de la gestion de l'Association. Les membres du Conseil ne reçoivent aucune rémunération pour leurs activités. Toutefois, les membres du Conseil d'Administration peuvent être remboursés de leurs dépenses liées aux activités de l'IMA, telles que les honoraires, les frais de déplacement, etc. lorsqu'elles sont autorisées par les autres dirigeants.“
This article is very much present in the English version. There it reads: " Section 2 – Role and compensation: The Board of the Association is responsible for the general policy and management of the Association. The Board does not receive any compensation for its activities. However, members of the Board may be reimbursed for their IMA related expenses such as fees, travel expenses etc. when authorized by the Board of the Association."
The members of the Board of the Association therefore explicitly do not receive any remuneration for their activities. They are only reimbursed for activity-related fees and costs. Compliance with this rule is monitored annually by the two independent auditors. It is impossible for the Board members to approve each other's salaries.
Article V, Section 4: The US dollar has been the reference currency of the Ipernity Members Association since its inception. At the time (in March 2017), 538 people donated a total of $29,130 USD. In this respect, the reference to this fact is not a new determination, but only a description of reality. Since then, all contribution rates have always been calculated on the basis of the US dollar, most recently in December 2019: www.ipernity.com/blog/team/4728770
Defining the US dollar as the reference currency is also an imperative of responsible action expected of the Board of the Association. Indeed, the majority of our operating costs (75%) are charged in US dollars. These are the server costs of the Amazon Web Service, which amounted to USD 28,595.99 last year (2020).
If we were to choose the Euro as our reference currency, our Association would have to bear the exchange rate risk. By choosing the US dollar, this risk is avoided. So it makes economic sense and is responsible practice.
Article V, Section 4: Contrary to popular belief, there is in fact no legal requirement that a certain minimum percentage of members must attend the General Assembly. The meeting must merely be duly convened. This actually leads to the situation that even a small number of members present can decide for the entire association.
To ensure that this does not happen in our case, we have been advertising attendance for weeks, far beyond what is required by law. The first announcement of the date was made in the Club News on January 8, 2021 and has been read 3,154 times so far. The official invitation was issued on February 12, 2021 and has been read 1,775 times so far. The invitation was repeated on February 26, 2021. It has been read 809 times so far.
We cannot force anyone to participate, we can only ask them to do so, which we hereby do again explicitly.
Article VIIb: There is no mention of PayPal at all.
Article XI, section 1: According to the currently valid version of our statutes, in the case of a dissolution of the Association, the entire cash balance would go to a non-profit association. All advance payments made by members would therefore be lost for them. In this respect, the proposed amendment is a real improvement.
As we do not record bank details for the registration, we are unfortunately unable to make remittances via bank transfer. We only know the PayPal accounts. An individual, manual collection and processing of bank data in the event of liquidation would require so much effort that the liquidator's wages to be spent on this would exceed the refund amounts.

On 2, 3, I still think the English translation is different, but as I am not competent enough to propose my translation, I'll stop here. Still, I advise to 'legally' mention that, if I understand correctly, that will be the French text prevailing in case of misunderstanding.

$/€ : I now understand this is because we actually spend a lot of $ with AWS. So it is logical, even though I for one believe hosting in European service would be far better for all kinds of reasons : European data protection, risk of change, using a European service...

This subtle distinction is required because it is also possible to upload files for purely personal purposes without wanting to share them with other people.

ARTIKEL VI – DIE MITGLIEDERVERSAMMLUNGEN
Absatz 1 – Generalversammlung:
" ... Während der Generalversammlung nehmen die anwesenden Vollmitglieder den jährlichen Finanzbericht und den Tätigkeitsbericht des Vorstandes zur Kenntnis. Sie entlasten den Vereinsvorstand von seiner Verantwortung für alle Tätigkeiten im zurückliegenden, abgelaufenen Geschäftsjahr. ... "

Konsequenzen, wenn erforderliche Mehrheit fehlt?
Ein Mitgliedsbeitrag hingegen ist der Geldbetrag, den ein Mitglied zur Aufrechterhaltung der Organisation und der Deckung der Kosten eines Vereins entrichtet. Einem Mitgliedsbeitrag steht keine konkrete Ware oder Dienstleistung gegenüber.
Vereinsmitglieder haben aufgrund ihres Mitgliedschaftsvertrags Rechte, wie sie in der Satzung festgelegt sind. Dazu gehört in unserem Fall die Nutzung der Webseite. Entscheidend ist der Unterscheid, dass seitens des Vereins keine Lieferverpflichtung besteht = kein Austauschverhältnis. (Wenn beispielsweise die Webseite nicht oder nur eingeschränkt läuft, besteht kein Erstattungsanspruch.)
Absatz 4: Das ist im einzelnen auf der Webseite geregelt. Wenn wir es auf Satzungsebene regeln wollten, müssten wir analog die Hälfte dessen, was in den Nutzungsbedingungen steht, ebenfalls in die Satzung schreiben. Die Satzung soll aber ähnlich einer Verfassung nur das Allerwichtigste regeln, und nicht die Details.
Entlastung des Vorstands Das ist wieder eine Terminologie aus dem Gesetz. Mit der Entlastung des Vorstands verzichtet die Mitgliederversammlung auf rückwirkende Schadensersatzansprüche gegenüber dem Vorstand und spricht ihn von der persönlichen Haftung frei. Das ist alles. Wenn die Entlastung nicht erfolgt, müssen die Mitglieder ihre Ansprüche benennen und begründen. Dies sollte aber gerichtsfest sein. Denn nicht entlastete Vorstandsmitglieder sind nicht wehrlos. Sie können vor Gericht die Feststellung einklagen, dass die behaupteten Ersatzansprüche nicht bestehen. Das hat sogar rechtlich gesehen einen zusätzlichen Vorteil für Sie. Erhalten Sie nämlich ein entsprechendes Urteil, das die Entlastung des Vorstandes bestätigt, so reicht dies in seiner Rechtswirkung über die „normale“ Entlastung in der Mitgliederversammlung hinaus. Deshalb sollte ein Vorstand, dem die Entlastung allgemein, also nicht nur wegen konkreter Ersatzansprüche, verweigert wurde, dieses Rechtsmittel durchaus in Betracht ziehen.

Be◉bachter club has replied to Team clubBezüglich Absatz 1 Generalversammlung Thema Entlastung bleibe ich auch nach der Lektüre des verlinkten Artikels dabei.
Über die Entlastung wird abgestimmt. Bei der Entlastung geht es nicht nur um Verzicht auf materielle Ersatzansprüche, sondern die Mitglieder stimmen im Anschluss an den Bericht des Vorstandes über die Geschäftstätigkeit darüber ab, ob sie mit dieser Geschäftsführung zufrieden waren oder eben auch nicht. Mit anderen Worten, es kann auch andere Gründe geben mit der Vorstandsarbeit unzufrieden zu sein als der Griff in die Kasse.
Nun ist der gegenwärtige Vorstand wahrlich weit davon entfernt, befürchten zu müssen, dass die Mehrheit der Mitglieder mit der Vorstandstätigkeit unzufrieden war, dennoch wird der Vorstand nicht entlastet, sondern es wird über die Entlastung ABGESTIMMT. Das Ergebnis ist in aller Regel, dass die angestrebte Entlastung auch erteilt wird.
Auch nach der Lektüre bin ich der Überzeugung, dass kein Vorstand ein verbrieftes Recht auf Entlastung hat, wenn dem so wäre, bräuchte er erst gar keinen Rechenschaftsbericht abgeben. Er wäre ja irrelevant.
Mein Petititum war also lediglich, dass dieses Faktum sich in der Satzungsformulierung widerspiegelt. Also nicht "Entlastung des Vorstandes", sondern "Abstimmung über die Entlastung des Vorstandes". Wenn das "umjuristisch" (vulgo Korinthenkackerei) ist, dann lass es wie es ist.
After extensive discussion with its advisors and consideration of the legal situation in different countries, the ima team has come to the following conclusion concerning the pro rata adjustment of membership contributions following a contribution change:
Equal treatment of all members in the manner outlined should be aimed. However, because the existing membership contracts were concluded without such a rule, they are to remain untouched. Vielleicht kann man an ein zwei Beispielen mal die Substanz dessen, was hier ausgedrückt werden soll juristischen Laien verdeutlichen.

Vielleicht kann man es unzweideutiger formulieren, weil nach Ablauf der Periode endet ja nicht die Mitgliedschaft als solche, sie nimmt gegebenenfalls - zumindest vorübergehend - nur einen anderen "Aggregatzustand" an.
